Cyversity Board of Directors Election Process

The Cyversity Board of Directors elections is now closed. The Cyversity Board of Directors election voting period was February 7 – 21, 2022.  Members will be notified of the newly-elected board members via email in March.

February 7, 2022 Ballot will be generated from complete nominations and emailed to current Cyversity Members.
February 21, 2022 Ballot deadline. Ballots must be received by Cyversity by this date (balloting open 2/7 – 2/21)
February 25, 2022 Elected nominees notified of their new position.
March 2022 Elected nominees are expected at the 2022 Q1 Cyversity Board meeting.

1.1. Vote Administration

In order to maintain impartiality, the vote will be administered by Virtual, Inc., (the “Vote Administrator”) Cyversity’s Management Company. No members will have access to the voting during or after the election and no member will be involved in the tabulating of the results.

1.2 Eligibility

The Board of Directors will determine any additional criteria for eligibility and submitting qualifications for nomination.  Preferred Nomination Criteria and Minimum Required Responsibilities for New Nominees:

  • Currently active Cyversity membership for at least one year.
  • Ten years industry experience as a cybersecurity professional, consultant or educator.
  • Prior board experience (on a corporate or not-for-profit) organization or one year on a Cyversity committee.
  • Exemplifies leadership qualities by way of teaching, presenting, writing, or dedicating volunteer time to the benefit of the cybersecurity industry and practitioners.
  • Strong communication skills.
  • Able to commit up to 10 hours per month to activities related to their role on the board.
  • Attend and actively participate in at least 75% of board meetings (in person or virtual.)  Board meetings are usually held quarterly.
  • Actively serve as board liaison on at least one (1) Cyversity committee or task force.

The term for each Director shall be three (3) years and board members are eligible for re-election.

1.3 Nominations

Nominations for the Cyversity Board will be accepted from December 13, 2021 through 11:59 PM ET on December 27, 2021 (“End of Nominations”). Nominations will be accepted via email; all nominations must include the required documentation, refer to section 1.5. Members are allowed to nominate themselves for election. In this case, both the nomination and acceptance may be submitted together.

1.4 Accepting Nominations

On receipt of the nomination, the Vote Administrators will contact each nominee to verify that they were aware of the nomination, accept the nomination, meet or will meet the qualifications, and are willing to put in the time commitment required. On receipt of an affirmative response to all questions, the individual will be forwarded to the Senior Leadership Team for review to ascertain that all eligibility requirements have been met. The Senior Leadership Team will schedule a conference call to prepare the slate of nominees to present to the membership.

1.5 Submitting a Nomination

The nominee must complete the submission form in full; read and understand the Cyversity Roles and Responsibilities to successfully complete a nomination submission. Please contact the vote administrator with any questions concerning the submission form or election documents.

  • Complete the Board of Director nomination submission form (expired/no longer accepting nominations)
    • Answer all questions completely
    • Sign the acknowledgement statement included on the submission form
    • Include the nominee’s resume (separate file preferred)
  • Read and understand the Board Member Roles & Responsibilities

It is important that you read and understand the above noted documents as the submission form requires your agreement to these important documents. All nominees must complete the submission form by 11:59 PM ET on December 27, 2021 in order to be included as a nominee.

1.6 Posting of Nominees and Qualifications

The list of nominees and the supporting background material provided will be posted to the Cyversity member website. This information will be available to all Cyversity members for review and consideration once the voting goes live.

1.7 Soliciting Support

The supporting material provided as a part of nomination acceptance, along with demonstrated participation and leadership in Cyversity activities is expected to be sufficient information about the candidate’s qualifications to make a voting decision. Cyversity email lists should not be used to announce or solicit support for election. Questions or clarifications on process or execution should be directed to the Vote Administrator and the Executive Director.

1.8 Voting Period

Voting will open on January 10, 2022. Voting will close on January 24, 2022 at 11:59 PM ET.

1.9 Voting Members

Cyversity maintains a database of voting members. Prior to the voting period, a communication will be sent via electronic mail to notify members of the voting period. Voting members of Cyversity include Professional members, as well as Student members.

1.10 Ballots

A link to the ballot will be sent via electronic mail to all voting members at the start of the voting period. A reminder email will be sent at the start of the second week of the voting period and twenty-four hours prior to the close of the voting period. Votes will be cast electronically, as administered by the Vote Administrator and Executive Director. To cast a vote, the Voting Member should submit an online ballot. All votes cast will remain confidential. Votes must be cast before the close of the voting period. If a confirmation reply is not received, the ballot should be re-sent to the Vote Administrator and the Executive Director to ensure that the vote is received and counted.

1.11 Result Posting and Notification

After the close of voting, the Executive Director will deliver the election results to the Board Chair and the President. The Executive Director will contact those candidates who have been elected. Details of vote counts or the order of the other candidates will not be published.

1.12 Announcement of New Directors

Candidates who have been elected will be announced to the membership shortly after all candidates have been notified. Those selected will officially take office at the Board of Directors meeting in February 2022. Based on schedule requirements, the Cyversity President and Executive Director or delegated individuals will hold an ‘orientation’ conference call or meeting to discuss the current board processes, meeting schedules, and activities, and will subscribe the new directors to the appropriate mailing lists.
